Terms of Service

These terms govern access to Joina’s website, applications, subscriptions and related services.

1. Agreement

These Terms of Service ("Terms") are an agreement between Joina ("Joina", "we", "us" or "our") and the person or organisation that accesses or uses Joina ("you"). Joina is based in Queensland, Australia.

By creating an account, starting a trial, purchasing a subscription or using the service, you agree to these Terms and our Privacy Policy. If you use Joina for an organisation, you confirm that you have authority to bind that organisation.

2. The service

Joina provides software for cabinetmaking and joinery workflows, including project setup, estimating, quoting, costing, supplier libraries, AI-assisted document processing, drawings and related outputs. Features may change as we improve the service.

You are responsible for your internet access, compatible devices, workspace configuration and the accuracy and suitability of information entered into Joina.

3. Accounts and teams

  • You must provide accurate account information and keep it current.
  • You must keep login credentials secure and promptly tell us about suspected unauthorised access.
  • Workspace owners and administrators are responsible for inviting users, assigning access and managing their team.
  • You are responsible for activity under your account except to the extent caused by our breach of these Terms or failure to use reasonable care.
  • You must be at least 18 years old and legally able to enter this agreement.

4. Trials, fees and subscriptions

Current pricing and trial details are shown on our Pricing page or at checkout. Unless stated otherwise, prices are in Australian dollars and include GST where required.

If you provide a payment method for a trial, your paid subscription begins when the trial ends unless you cancel before then. Subscriptions renew monthly until cancelled. You authorise our payment provider to charge the applicable recurring fees and taxes.

You may cancel through the billing portal or by contacting support. Cancellation takes effect at the end of the current paid billing period unless the law requires otherwise. Fees already paid are not refundable merely because you change your mind, but this does not limit any right or remedy you have under the Australian Consumer Law.

We may change fees on reasonable notice. A fee change will apply from a future renewal and you may cancel before it takes effect.

5. Your content and responsibilities

You retain ownership of project files, data, text, images and other content you submit to Joina ("Customer Content"). You grant us a non-exclusive, worldwide licence to host, copy, process, transmit, display and create technical derivatives of Customer Content only as reasonably necessary to provide, secure, support and improve the service and comply with law.

You confirm that you have all rights, notices, consents and permissions needed to submit and use Customer Content, including personal information relating to clients, employees, suppliers and other people.

You are responsible for reviewing, approving and lawfully using quotes, drawings, measurements, prices, cutlists, reports and other outputs before relying on or sharing them.

6. AI-assisted and generated outputs

Human review is required. AI-assisted extraction, recommendations, calculations and generated outputs may be incomplete, inaccurate or unsuitable for a particular job.

Joina is a productivity tool, not an architect, engineer, quantity surveyor, building certifier or legal, tax or safety adviser. You must independently check dimensions, quantities, material selections, pricing, site conditions, compliance requirements, construction details and outputs using appropriately qualified people before manufacture, ordering, quoting, installation or construction.

You must not treat an AI output as a substitute for professional judgment or required approvals.

7. Acceptable use

You must not:

  • use Joina unlawfully or infringe another person’s rights;
  • upload malicious code or content you are not authorised to use;
  • attempt to bypass security, access another customer’s data or interfere with the service;
  • reverse engineer, scrape or systematically extract the service except where the law does not allow that restriction;
  • resell or provide Joina as a service bureau without our written agreement; or
  • use the service or outputs to develop or train a competing model or product.

We may investigate suspected misuse and take proportionate steps to protect Joina and its users.

8. Joina intellectual property

We and our licensors own Joina, including its software, design, branding, documentation, templates, system libraries and underlying technology. Except for the limited right to use the service under these Terms, no rights are transferred to you.

Feedback is voluntary. If you give us feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.

9. Third-party services

Joina relies on or connects with third-party services such as payment, authentication, hosting, mapping, analytics, AI and supplier-data providers. Their services and content may be subject to separate terms and may change or become unavailable. We are not responsible for a third-party service outside our reasonable control, but we remain responsible for obligations that applicable law places on us.

10. Availability, changes and support

We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, security events, provider failures and circumstances outside reasonable control may cause disruption. We may modify, suspend or discontinue a feature and will give reasonable notice where a change materially reduces the core paid service, unless urgent security, legal or operational reasons prevent notice.

11. Suspension and termination

You may stop using Joina and cancel your subscription at any time. We may suspend access where reasonably necessary to address non-payment, a security risk, unlawful activity or a material breach. Where practical, we will give notice and an opportunity to fix the issue.

We may terminate this agreement for an unremedied material breach or if we discontinue Joina. On termination, your right to use the service ends. Contact us promptly if you need to export available Customer Content. We may delete workspace data after a reasonable closure period, subject to legal retention requirements and backups.

12. Consumer guarantees

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law or other law that cannot lawfully be excluded, restricted or modified.

Where a guarantee applies and the law permits us to limit the remedy, our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

13. Liability

To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill or anticipated savings, except where such loss could not lawfully be excluded.

To the maximum extent permitted by law, our total aggregate liability arising from Joina or these Terms is limited to the fees you paid us for the service during the 12 months before the event giving rise to the claim. This limit does not apply to liability that cannot lawfully be limited.

You remain responsible for project and commercial decisions, backups or exports appropriate to your business, and losses caused by Customer Content, your instructions, your breach of these Terms or your unlawful use of the service.

14. General

These Terms and the Privacy Policy form the entire agreement about the service unless we sign a separate agreement with you. If a provision is unenforceable, it will be read down or severed without affecting the rest. A delay in enforcing a right is not a waiver. You may not transfer this agreement without our written consent; we may transfer it as part of a business restructure or sale, provided your rights are not materially reduced.

We may update these Terms. We will give reasonable notice of material changes, and changes will apply prospectively. If you do not agree, you may cancel before the changes take effect.

Queensland law governs these Terms. The parties submit to the courts of Queensland and courts entitled to hear appeals from them.
